The Company wishes to announce that the Conditions Precedent of the SPA have been fulfilled and thus the SPA become unconditional on 10 July 2023. Radium Global had on 4 August 2023 received notification from its solicitors confirming the balance of Purchase Price has been fully paid on 3 August 2023. Accordingly, the Proposed Acquisition is deemed completed on 4 August 2023 pursuant to the SPA.
